1. Introduction
These Terms of Service ("Terms") govern your use of New Ground Digital's developer advisory services, including video calls and code reviews. By booking or using our services, you agree to these Terms.
If you do not agree, please do not use the service.
2. Services Provided
New Ground Digital connects clients with experienced freelance developers who:
- Offer live video-based technical advice;
- Review code and provide best-practice recommendations.
Note: The service is advisory only. Developers do not write, deploy, or implement code on your behalf.
3. Booking & Payment
- All sessions must be pre-booked and prepaid using our integrated Stripe payment system.
- Fees are charged per session or per hour as displayed at the time of booking.
- Sessions may be rescheduled with at least 24 hours' notice.
4. Cancellations & Refunds
- Cancellations made with at least 24 hours' notice may be refunded or credited.
- Missed sessions or cancellations within 24 hours are not eligible for refunds.
5. Developer Relationship
Our freelance developers are independent professionals. While we vet their experience and skill, New Ground Digital is not liable for their actions outside our platform or for any outcomes of their advice.
6. Confidentiality
All developers are under confidentiality obligations and shall aim to treat your code and project information as confidential.
However, by submitting your code or materials, you acknowledge:
- Developers may temporarily clone your code to local environments for review;
- Local copies are deleted after the session is complete;
- You are responsible for managing access permissions and credentials.
7. Limitation of Liability
To the fullest extent permitted by law:
- No Warranties: The services are provided on an "as-is" and "as-available" basis. New Ground Digital Ltd makes no warranties or representations, express or implied, regarding the accuracy, completeness, or fitness for a particular purpose of any advice, code review, or information provided.
- Advisory Nature: All services are advisory only. Implementation decisions and outcomes remain solely the responsibility of the client. New Ground Digital Ltd does not write, test, deploy, or verify code implementations.
- Exclusion of Damages: In no event shall New Ground Digital Ltd, its directors, employees, contractors, or affiliates be liable for any indirect, incidental, special, punitive, or consequential damages, including but not limited to:
- Loss of revenue, profits, anticipated savings, data, business opportunities, goodwill, or reputation;
- Downtime, security breaches, system failures, or bugs resulting from code changes you implement;
- Regulatory, compliance, or legal issues arising from how advice is interpreted or applied.
- Maximum Liability Cap: To the extent liability cannot be excluded by law, New Ground Digital Ltd's total aggregate liability for any claim, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the total amount paid by you for the services giving rise to the claim in the preceding three (3) months.
- Third-Party Contractors: While we take reasonable steps to vet freelance developers, they operate as independent contractors. New Ground Digital Ltd is not liable for any actions, omissions, or advice given by developers outside the scope of scheduled, paid sessions via our platform.
8. User Conduct
You agree to:
- Treat developers respectfully during live sessions;
- Avoid abusive, harassing, or discriminatory behavior;
- Not misuse the platform or attempt to solicit developers outside of official sessions.
We reserve the right to terminate service access for breach of conduct.
9. Intellectual Property
- You retain full ownership of your code and project materials.
- Developers do not claim any rights over your intellectual property.
10. Privacy Policy
Please refer to our Privacy Policy for details on how we collect and handle your personal data, including session logs and contact information.
11. Changes to Terms
We may update these Terms at any time. Changes will be effective upon posting to the website. If we make material changes, we will notify you through the platform or by email. By continuing to use the Services after those changes become effective, you agree to be bound by the revised Terms.
12. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
